1. Scope of Application
These general terms apply to all uses of the Offacto platform, the Offacto vzw app, and all quotes, services, and subscriptions of Offacto, Huidevettersstraat 13/3, 2300 Turnhout, Belgium, company number BE 0698.645.666, email info@offacto.com (hereinafter ‘Offacto’).
Offacto targets businesses, freelancers, and organizations. By creating an account or subscribing, you accept these terms. Customer terms deviating from these only apply if Offacto accepts them in writing.
2. Account and Packages
The Starter package is free, with no time limit, subject to the restrictions listed on the pricing page, and without AI features.
The Advanced package is paid and provides unlimited access to all features, including AI. Any additional brand or extra administration will be charged according to the applicable pricing.
You can try Advanced for 14 days free and without obligation. After the trial period, your account will automatically switch to Starter unless you choose a paid subscription. Your data will remain preserved.
You are responsible for the accuracy of your data and for keeping your login details confidential.
3. Pricing and Payment
All prices listed on offacto.com are exclusive of VAT, unless otherwise stated. Subscriptions are pre-billed, monthly or annually.
Invoices are payable within 14 days. In case of late payment, Offacto may, after a reminder, suspend access to payment functions. Legal protest fees and a fixed penalty are due according to the law of August 2, 2002, regarding the combating of payment delays in commercial transactions.
Offacto may adjust its prices. Changes will be announced at least 30 days in advance and take effect from the next renewal period.
Recognized non-profits and non-profit organizations receive a 50% discount on Advanced, upon presentation of their company number.
4. Duration, Renewal, and Cancellation
A subscription runs for the selected period of one month or one year and is silently renewed on the expiry date for the same period.
You can cancel at any time from your account or by email, at the latest before the expiry date. Cancellation takes effect at the end of the current period. Already paid periods will not be refunded, unless the law requires otherwise.
Offacto may suspend or terminate an account in case of serious or repeated breaches of these terms, such as abuse, fraud, or sending spam through the platform.
5. Use of the Platform
You use Offacto solely for lawful purposes. You remain responsible for the content of your quotes and invoices, correct VAT handling, and compliance with your accounting and tax obligations.
The AI features, savings advice, and financial assistant provide support and suggestions. They are not tax, legal, or accounting advice and do not replace your accountant. Always verify proposals before sending or submitting them.
6. Availability and Support
Offacto does everything reasonable to keep the platform secure and available, but cannot guarantee uninterrupted operation. Scheduled maintenance will be announced in advance when possible.
Support is reachable via info@offacto.com. We aim to respond within 24 hours on business days.
7. Data and Data Processing Agreement
You remain the owner of all data you input into Offacto. You can export it at any time.
For personal data you process in Offacto, Offacto acts as a data processor under AVG/GDPR. Offacto processes this data solely based on your instructions, maintains confidentiality with employees, implements appropriate security measures, works only with subprocessors bound by the same obligations, assists you with requests from data subjects, and reports a data breach without unreasonable delay. At the end of the agreement, the data will be deleted after a maximum export period of 12 months.

8. Offacto vzw (offline app)
Offacto vzw is provided as an annual license per organization, following a free 30-day trial. The license is non-transferable.
Since the app runs locally, you are responsible for the computer, chosen data folder, and its backups. After the license expires, data remains stored, but the app is blocked until a valid key is entered.
The app prepares VAT returns, customer listings, annual accounts, and minutes, but does not submit anything automatically. Reviewing and submitting remains your responsibility.
9. Intellectual Property
All rights to the platform, app, software, design, and Offacto brand remain the property of Offacto. You receive a non-exclusive, non-transferable right to use them for the duration of your subscription or license.
Your logo, texts, and documents remain yours. You grant Offacto only the right to use them as necessary to provide the service.
10. Liability
Offacto is liable only for direct damage that is a direct consequence of an error by Offacto. Offacto is not liable for indirect damage, such as loss of profit, loss of clients, or tax penalties due to incorrect input.
Offacto’s total liability is limited to the amount you paid for the service in the 12 months prior to the incident. For the free Starter package, this is limited to €100. These limitations do not apply in cases of intent or gross negligence.
11. Force Majeure
Offacto is not liable for failures due to circumstances beyond its control, such as disruptions from hosting partners, the Peppol network, government services, power outages, or cyberattacks that succeed despite reasonable measures.
12. Amendments
Offacto may amend these terms. Significant changes will be notified at least 30 days in advance by email. If you do not agree, you can cancel your subscription free of charge by the effective date.
13. Applicable Law and Disputes
Belgian law applies to these terms. We first attempt to resolve disputes through mutual consultation. If that fails, only the courts of the judicial district of Antwerp, Turnhout division, are competent.
